Prior to December 22, 2022 New Jersey required a separate election to set up you S-Corp with the State. The rules have changed since then. Now New Jersey only requires that a business show that they have S-Corp status at the federal level and be registered as a corporation with the NJ Division of Revenue and Enterprise Services (DORES).
Your S-Corp acceptance letter is an important document that should be kept in the permanent file of the business. You can request your S-Corp acceptance letter from the IRS if you cannot locate the original letter. It is possible to still register as a corporation in NJ and later submit the S-Corp acceptance letter when it is received.
Your business must also obtain authorization from each shareholder to be taxed as a S-Corp in NJ. During the process of registering the business with the State a Shareholder Jurisdictional Consent will be required to confirm each shareholder’s agreement to the state-level S-Corp tax treatment.
